IPOの公開価格決定方式として、現在、わが国では入札方式とブックビルディング（BB）方式の2つが建前上は選択可能であるが、BB方式が導入された1997年秋以降、入札方式が選択されたことは一度もない。では、BB方式は入札方式より優れた制度なのだろうか。この問題にIPOのトータルコストと値付けの的確性という2つの視点から再検討を加える。

わが国でも最近急速に普及しているコミットメントライン型の銀行借入に着目し、契約締結のアナウンスが株価に及ぼす効果を市場性負債（CP、SB）のそれと比較する形で計測し、銀行借入の持つ特殊性を実証的に確認する。その結果、CPやSBのアナウンスメント効果はゼロから有意に異なっていないのに対して、コミットメントライン型銀行借入のそれは１％水準で有意にプラスであること、銀行借入の返済を目的としたSB発行は株価に有意にマイナスの影響を及ぼしていることなどが判明した。

新規株式公開（IPO）における公開価格決定方式には幾つかのものがあるが、日本では現在、入札方式とブックビルディング（BB）方式の２つが選択可能な形で導入されている。しかし、1997年9月にBB方式が導入されて以来、移行期ともいえる最初の１ヶ月余を別とすれば、入札方式を採用した企業は１社もない。ところが、公開価格と初日の市場価格の差で測る初期収益率を調べてみると、BB方式の方が圧倒的に高い。このことは、新規公開株の割当を受けた投資家にとっては儲けが大きいが、新規公開企業にとっては損失が大きいことを意味する。この謎を解明するため、まず、初期収益率に影響を及ぼしうる諸要因をコントロールした上で公開価格決定方式の違いによる影響を調べたところ、BB方式は初期収益率を平均で約15％高めていることが判明した。そこで次に、この謎を整合的に説明する仮説として「証券会社による利益相反仮説」を提示し、その妥当性を２通りの方法で検証したところ、いずれについてもそれを支持する結果が得られた。
